Blackwood Agency may provide a live website preview ("demo") for evaluation purposes before purchase.
- Demo websites remain the property of Blackwood Agency until full payment is received.
- Viewing a demo does not grant ownership or usage rights.
- Blackwood Agency reserves the right to reuse, modify, or repurpose any non-purchased demo work.
3. Modifications
We reserve the right to update or modify these terms at any time without prior notice.
Continued use of our website or services constitutes acceptance of any updated terms.
We may also modify or remove any part of our website, demos, or services at our discretion without liability.
4. Limitation of Liability
Blackwood Agency is not responsible for any indirect, incidental, or consequential damages arising from use of our website, services, or delivered work, including but not limited to loss of revenue, profits, leads, or business opportunities.
We do not guarantee uninterrupted service, error-free performance, or immunity from viruses or external security threats.
Clients are responsible for reviewing all delivered materials prior to use in their business operations.
5. Loss of Data
Blackwood Agency is not responsible for loss of files, content, or data after delivery or deployment. Clients are responsible for maintaining backups of any materials provided or used in their business.
6. Pricing
Pricing displayed or communicated prior to purchase is an estimate and may be subject to change based on project scope or requirements.
Final pricing is confirmed at the time of purchase via Stripe checkout or written agreement.
7. Payment Terms
- Full payment is required upon purchase of the website.
- Ownership and full rights to the website are transferred only after payment is received.
- An optional maintenance plan may be selected after purchase.
- Maintenance payments are recurring and may be canceled by the client with notice.
8. Maintenance Plan
If selected, the maintenance plan includes:
- Minor website edits (text and image updates)
- Bug fixes and technical maintenance
- Basic uptime and functionality support
The maintenance plan does not include:
- Full redesigns
- New page creation
- Major structural changes or marketing services
9. Project Variations
Pricing or delivery timelines may change due to:
- Changes requested by the client after approval
- Missing or incomplete client instructions
- Delays outside of Blackwood Agency's control
10. Cancellation
Clients may cancel a project before payment is made for full ownership.
Once payment is completed, services are considered delivered and non-refundable.
11. Inactivity / Abandonment
If there is no communication or response from the client for a period of 30 days during an active project phase, the project may be considered abandoned.
Abandoned projects may require additional fees to restart.
12. Closed Projects
A project is considered closed once:
- The website is delivered and/or purchased, or
- No communication has occurred for 60 days after completion
After closure, Blackwood Agency is not liable for maintenance, updates, or support unless covered under an active maintenance plan.
13. Termination
Blackwood Agency reserves the right to terminate or refuse service at any time for any reason, including misuse of services or violation of these terms.
14. Third-Party Services
Our services may integrate third-party tools or platforms (such as hosting providers, payment processors, or form services).
We are not responsible for the actions, content, or reliability of third-party services.
15. Severability
If any part of these terms is found to be invalid or unenforceable, the remaining sections will continue in full effect.
16. Force Majeure
Neither party shall be held liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, government actions, war, or service outages.
